Terms of Use and License Agreement

THESE TERMS ARE IMPORTANT AND AFFECT YOUR LEGAL RIGHTS. PLEASE CAREFULLY READ THESE TERMS PRIOR TO REGISTERING FOR A FREE DEMO ACCOUNT. THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE. PLEASE READ THESE TERMS AND THE ARBITRATION PROVISION SO THAT YOU ARE AWARE OF YOUR LEGAL RIGHTS.
Section 1 - Introduction & Consent to Terms

Welcome to Contractors Intelligence School, a California corporation's (referred to herein as "CIS", "we", "us", or "our") Demo Account Terms of Use and License Agreement (referred to herein as the "Terms").

We offer a contractor's license preparation program and have helped thousands of clients become licensed contractors within the State of California (our “Services”). Additional information about our Services can be found on our website, https://www.contractorsischool.com/ (our "“Website”").

These specific Terms only apply to our Demo Course and no other offerings of any kind.

If you do not agree to these Terms, we ask that you please do not register for a demo account which gives you access to a preview of one of our many course offerings (our "Demo Course"). Registering a demo account and downloading a Demo Course constitutes explicit acceptance of these Terms.

If you are using our Demo Course on behalf of an entity, you represent and warrant that you are authorized to accept these Terms on such entity's behalf and that such entity agrees to be responsible to us if you or the entity violates these Terms.

We reserve the right to modify the contents of these Terms at any time, with or without notice. You agree that it is your responsibility to monitor changes to these Terms

Section 2 - Privacy Policy

Please refer to our Privacy Policy which includes information about how we collect, use, and disclose information about you. If you are a California resident, please also review our additional privacy disclosures that are directed towards you.

By signing up for a demo account, you explicitly agree that we may use any information we collect from you or information you provide to us in connection with our Services and other reasons such as data analysis, developing new Services, sending marketing campaigns, enhancing, improving or modifying our Services, identifying usage trends, determining the effectiveness of our campaigns and any reasonable reason(s) connected to our business purposes, now or hereinafter adopted.

You can opt out of receiving marketing campaigns by following the instructions listed on our Privacy Policy.

Section 3 - Eligibility, Installation, & Account

Our Demo Course is not meant to be used by anyone under the age of eighteen (18) without the consent of their parent or guardian. By registering a demo account, you represent and warrant that you are at least eighteen (18) years old or have received consent of your parent or guardian to do so.

In order to use access our Demo Course, you are required to create and maintain an account with CIS. It is your sole responsibility for maintaining the confidentiality and security of your account and password. You are solely responsible for any and all activities that occur under your password and account.

By registering a demo account on our Website, you hereby represent and warrant that all information submitted to CIS in connection with your demo account is true and correct to your best belief and knowledge and that you will update any errors, inaccuracies, or changes to all such information.

When signing up for an account Website, you are also required to choose a license classification which will dictate the type of Demo Course you will receive. Please ensure that you choose the correct license classification as we only offer one (1) Demo Course per account, and only one (1) account is permitted per person. If we discover that you have created more than one (1) account or received more than one (1) Demo Course, we will terminate your license privileges immediately.

We do not ask for nor require credit card information to register a demo account gain access to a Demo Course. If you would like to sign up for our full course offering, please ensure to sign up on our website or please call our office at 1-800-425-7570. Signing up for a Demo Course does not grant you access to nor any of the privileges of our full course offering, the terms of which can be found on our Website as well as our full Terms and Conditions.

Section 4 - Free Trial

Once you register for a demo account, CIS will make available to you a Demo Course on a trial basis, free of charge, until the earlier of (a) your enrollment in a full course; or (b) termination by CIS in its sole discretion. The Demo Course will involve a limited preview of what a full course offering will look like. If you do not wish to sign up for our full course offering, nothing in these Terms requires you to do so.

Each Demo Course is a preview of the Services we offer and is not meant to fully prepare you for a licensing exam, which it does not. Use of any information obtained in a Demo Course is at your own risk. We do not and cannot guarantee that each and every part of the Demo Course is up to date, accurate, and complete as we spend most of our time and resources working on our full course offerings. Rather, a Demo Course is designed to give you a preview of our Services.

OUR DEMO COURSE IS PROVIDED TO YOU 'AS IS' AND, TO THE EXTENT PERMITTED BY APPLICABLE LAW, CIS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, LICENSORS, AND AFFILIATES, EXCLUDE ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, AND FITNESS FOR A PARTICULAR PURPOSE.

WE EXPRESSLY DISCLAIM ANY LIABILITY FOR LOSS OR DAMAGE SUSTAINED BY YOU AS A RESULT OF ACCESSING AND USING OUR DEMO COURSE.

Section 5 - CIS Intellectual Property & Your License

The contents of our Demo Course are protected by United States and international copyright laws. The contents of our Demo Course are owned exclusively by CIS or licensed to us. You may not, and may not cause or encourage others to, reproduce, distribute, display, sell, transfer, assign, license or use for commercial purposes any copyrighted material on our Demo Course (the "Intellectual Property") without our prior written consent. All rights not expressly granted in these Terms are reserved to CIS.

CIS and its name, logos, slogans, or otherwise are trademarks or service marks ("Marks") of CIS. All rights in these Marks are reserved by CIS. You may not use any CIS-provided Marks or other logos or graphics, without our prior written consent.

We grant you a limited, revocable, non-transferable and non-exclusive license to access and make uses of our Demo Course consistent with these Terms. This limited license does not include the right to: (a) republish, redistribute, transmit, sell, license or download our Demo Course except as necessary to use our Demo Course; (b) make any use of our Demo Course or any and/or all content other than uses consistent with the Services or exploring the Services; (c) modify, reverse engineer or create any derivative works based upon our Demo Course; (d) collect account information for the benefit of yourself or another party; or (e) use software robots, spiders, crawlers, or similar data gathering and extraction tools, or take any other action that may impose an unreasonable burden or load on our infrastructure.

Any unauthorized use by you of our Demo Course automatically terminates this license without prejudice to any other remedy provided by applicable law or these Terms.

Section 6 - Term & Errors

Occasionally there may be information on our Demo Course or these Terms that contains typographical errors, inaccuracies or omissions. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update our Demo Course if any information is inaccurate at any time, including after you have registered.

Section 7 - Limitation of Liability

CIS shall not be liable for delay or failure in performance for causes beyond our control or any other damage which does not result from a breach of our obligations under these Terms.

WE SHALL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, NOR SHALL WE BE HELD LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND OUR REASONABLE CONTROL.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION EXCEED TEN DOLLARS ($10.00).

YOU AGREE THAT NO CLAIMS OR ACTION IN CONTRACT, WARRANTY, OR IN TORT (INCLUDING NEGLIGENCE) ARISING OUT OF, OR RELATED TO, THE USE OF OUR DEMO COURSE OR THESE TERMS MAY BE BROUGHT MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION RELATING TO SUCH CLAIM OR ACTION AROSE. IF YOU ARE DISSATISFIED WITH OUR DEMO COURSE, TERMINATION IS YOUR SOLE REMEDY. WE HAVE NO OTHER OBLIGATION, LIABILITY, OR RESPONSIBILITY TO YOU.

Section 8 - Indemnification & Confidential Information

You agree to defend, indemnify and hold CIS, its agents, employees, directors, officers, owners, etc. harmless for any loss, damages or costs, including reasonable attorneys' fees, resulting from any third party claim, action, or demand arising from (i) your use of our Demo Course, (ii) your breach of these Terms, or (iii) your violation of any law, rule, regulation, or similar.

You acknowledges that you will have access to information that is treated as confidential and proprietary by CIS, including, without limitation, the terms of this Agreement, the Demo Course, trade secrets, market differentiators, information pertaining to CIS’s operations, proposed operations and strategies (collectively, the “Confidential Information). Any Confidential Information that you comes into contact with in connection with the Demo Course shall be subject to the terms and conditions of this Section.

You agree to treat all Confidential Information as confidential, not to disclose such information to any third party without CIS's prior written consent, and not to use or permit any third party to use any Confidential Information for any purpose except in connection with your use of the Demo Course.

Section 9 - General Provisions
  1. Entire Agreement. These Terms contains the entire agreement between you and CIS regarding the Demo Course.
  2. Waiver. The failure by CIS to enforce any provision of these Terms shall not be construed as a waiver or limitation of our right to subsequently enforce and compel strict compliance with every provision of these Terms.
  3. Assignment. You may not assign, pledge, delegate, or otherwise transfer any of your rights or obligations under these Terms without CIS's prior written consent.
  4. Relationship. Nothing in these Terms shall create, or is intended to create an agency, employment, franchise, joint venture, or partnership relationship between you and CIS.
  5. Applicable Law/Dispute Resolution/Arbitration. This Agreement shall be governed by the laws of the State of California. Any dispute arising from this Agreement shall be subject to binding arbitration. The prevailing party in any dispute arising out of or under these Terms or a Demo Course shall be entitled to recover its/his/her reasonable attorney's fees and costs. The governing rules shall be the rules, then-implemented, by the American Arbitration Association commercial division. CIS and you agree that any such final decisions may be presented to a court of competent jurisdiction for purposes of being confirmed as a judgment enforceable under the law in which that party is domiciled or where their headquarters are located. Should either party forego arbitration, that party shall be barred from recovering their attorneys' fees or costs.
  6. Notices. All notices are required to be delivered in writing.
  7. Severability. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
